 These Terms and Conditions (“Terms”) govern your access to and use of the Chainmail website and services (the “Services”). Chainmail is a software product operated by Madsen Mill LLC (“Company,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms. 

1. THE SERVICES

Chainmail provides a workflow approval and automation service that allows organizations to send approval requests via email or SMS and, upon approval, execute actions in connected third-party applications.

Chainmail does not replace third-party applications and does not guarantee the availability, accuracy, or performance of any external system.

2. ELIGIBILITY

You must be at least 18 years old and authorized by your organization to use the Services. By using the Services, you represent that you have the authority to bind your organization to these Terms.

3. ACCOUNT ACCESS AND AUTHORIZATION

Access to certain features of the Services requires connecting third-party applications using OAuth or similar authorization methods.

You grant Chainmail permission to access connected applications solely to perform actions explicitly approved through the Services. Chainmail does not collect or store third-party account passwords.

You are responsible for maintaining the confidentiality of approval links, codes, and credentials provided to you.

4. APPROVALS AND AUTOMATION

Actions executed by Chainmail occur only after an approval is submitted by an authorized approver.

You are responsible for:

- Defining who is authorized to approve actions

- Ensuring approvals are reviewed appropriately

- Verifying the accuracy of requests before approval

Chainmail executes actions based on the approval received and does not independently verify the business correctness of any action.

5. SMS AND COMMUNICATIONS

Chainmail may send transactional communications via email or SMS for approval notifications and security purposes.

- Message frequency varies based on approval activity

- Users may opt out of SMS messages at any time by replying STOP

- Chainmail does not send marketing or promotional SMS messages

Standard messaging rates may apply depending on your carrier.

6. ACCEPTABLE USE

You agree not to use the Services to:

- Send spam, phishing, or unsolicited messages

- Execute actions without proper authorization

- Violate applicable laws or regulations

- Interfere with the security or integrity of the Services

Chainmail reserves the right to suspend or terminate access for violations of these Terms.

7. DATA AND PRIVACY

 Your use of the Services is subject to the Chainmail Privacy Policy, which describes how information is collected, used, and protected by Madsen Mill LLC. 

8. THIRD-PARTY SERVICES

The Services integrate with third-party applications and services. Chainmail is not responsible for the availability, functionality, or data practices of third-party services.

Your use of third-party services is governed by their respective terms and policies.

9. DISCLAIMERS

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

CHAINMAIL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Chainmail does not guarantee that the Services will be uninterrupted, error-free, or secure.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MADSEN MILL LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

Chainmail’s total liability for any claims arising out of or related to the Services shall not exceed the amount paid by you to Chainmail in the three (3) months preceding the claim.

11. INDEMNIFICATION

 You agree to indemnify and hold harmless Madsen Mill LLC and its affiliates from any claims, damages, or liabilities arising from: 

- Your use of the Services

- Actions executed based on your approvals

- Violation of these Terms or applicable law

12. TERMINATION

Chainmail may suspend or terminate access to the Services at any time for violations of these Terms or to protect the integrity of the platform.

Upon termination, your right to use the Services will immediately cease.

13. CHANGES TO THESE TERMS

Chainmail may update these Terms from time to time. Updates will be reflected by the “Last updated” date above.

Continued use of the Services after changes constitutes acceptance of the updated Terms.

14. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
